Definition of resolutionResolution A binding decision made by the shareholders of a company. If a motion is put before the shareholders at a general meeting and the required majority vote in favour of it, the motion is passed and becomes a resolution. An ordinary resolution requires 50% of the vote. A special resolution required 75% of the vote.
